Terms of Use

Thank you for choosing to use FreeAgent’s proprietary Invoice-o-matic tool. Invoice-o-matic allows you to easily generate and manage invoices for your customers at no cost by the simple click of a button.

Just a few legal points to highlight: -

ACCESS. Access to Invoice-o-matic is permitted on a temporary basis and FreeAgent reserve the right to withdraw or amend Invoice-o-matic at any time. We will not be liable if for any reason the Invoice-o-matic is unavailable at any time. Its for your business purposes only and you are not permitted to allow third parties to use Invoice-o-matic.

OUR RIGHTS. FreeAgent owns all rights in and to Invoice-o-matic. Although we are happy for you to use it, nothing in these Terms shall be construed as conferring any licence or right to any of our intellectual property rights including our trademarks unless expressly permitted by us. You shall not remove any copyright notices and trademarks featured by us as part of the Invoice-o-matic service.

USE IT WISELY. You may use the Invoice-o-matic for any lawful purpose of your business. You may not use the Invoice-o-matic in anyway that is unlawful or fraudulent or which has any unlawful or fraudulent effect.

IT’S YOUR INFORMATION ON THE INVOICES. You are responsible for ensuring the legality, reliability, integrity, accuracy and quality of the data you input into Invoice-o-matic and we shall not be responsible for any data you input into the Invoice-o-matic, including without limitation for its storage, accuracy or completeness.

YOUR DATA: We need to collect and store certain pieces of information when you use Invoice-O-Matic that may be yours or a third parties' (i.e. the recipient of the Invoice) personal data. This can be email addresses, company name, addresses and invoice details. Any data we do store will be dealt with in line with our Privacy Policy. As you will be giving us the data of the recipient of the Invoice, you should ensure that you have the necessary consents to provide us with this information on this basis, and you should advise such third parties of our Privacy Policy for their information.

ITS FREE. So, you acknowledge that Invoice-o-matic has not been developed to meet your individual requirements and that it is therefore your responsibility to ensure that the facilities and functions of Invoice-o-matic meet your requirements. You acknowledge that the Invoice-o-matic may not be free of bugs or errors and you agree that we shall not be liable to you as a result of the existence of any minor errors.

THE LEGAL BIT. To the extent permitted by law we expressly exclude: (a) all conditions, warranties and other terms which be implied by statute, common law or the law of equity; and (b) any liability for any direct, indirect or consequential loss or damage incurred by you in connection with the use or inability to use Invoice-o-matic, including, loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time.

Subject to paragraph b) above, our maximum aggregate liability under these Terms or in connection with your use of the Invoice-o-matic whether in contract, delict, tort (including negligence) or otherwise, shall be limited to one hundred pounds Sterling (£100).

No waiver by us of any breach by you of any of these Terms shall constitute a waiver of any other breach, and no failure to exercise or partial exercise by us of any remedy shall constitute a waiver of the right subsequently to exercise that or any other remedy in part or in full.

Your use of Invoice-o-matic is governed by Scots law. Any dispute (including non-contractual claims) arising from, or related to, these Terms shall be subject to the exclusive jurisdiction of the Scottish Courts.
